zoomFinance is an internet website operated by Forum Digital Sdn Bhd (505561-K). zoomFinance enables access to financial services, content, tools and products provided by itself as well as its licensors, content partners and solutions providers.

This agreement is a legal agreement between you (either an individual or an entity), whose details are as contained in the Registration Form, and Forum Digital Sdn Bhd ('the Company') in respect of your use of and participation in this service.

In consideration of the mutual covenants herein, you hereby agree that you have read, understand, consent and agree to all terms and conditions in this agreement, comprising the regulations from the Terms and Conditions and the Community Guidelines.

The Company provides these Terms and Conditions (the "Terms and Conditions") to you, the user of the zoomFinance service (hereinafter referred to as "user" or "you"). These Terms and Conditions govern your use and participation in zoomFinance's service ("zoomFinance") and is deemed to be incorporated into the agreement between you and the Company. You understand that accessing or transmitting information, registering or otherwise participating in zoomFinance constitutes and shall be deemed an acceptance by you of the following Terms and Conditions. The Company reserves the right, at its sole discretion, to change, modify or add to these Terms and Conditions, at any time, and without prior notice to you.

Definitions

In this Agreement unless the context otherwise requires the following terms shall have the following meanings:-

• "Sites" means this website, any of its associated pages, any affiliated sites, or e-mails sent out by zoomFinance.
• "Services" means the information, content, products and tools that are made available via this website.

Registration

In order to register as a member of zoomFinance, you must be at least eighteen (18) years of age and have the legal capacity to sign legally binding contracts.

You agree that all information provided by you in the registration process is true, accurate, current and complete and further agree to maintain and promptly update your registration data to keep it true, accurate and complete.

In the event that the information provided by you is found to be, or if zoomFinance has reasonable grounds to believe it to be untrue, inaccurate, not current or incomplete, zoomFinance has the full right to suspend or terminate your account.

No Resale of Service

You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Services, use of the Services, or access to the Services.

No Investment Advice

You understand and agree that any information, content and/or Services provided by zoomFinance, its affiliates, licensors and/or its information suppliers shall in no circumstances be considered by you as representing advice from zoomFinance nor shall it be considered an inducement or be relied upon by you to undertake any transaction.

You agree that you shall at all times rely on your own assessment of the information, content and/or Services and the merits of any proposed transaction.

Investor Content

The content available through zoomFinance is the property of the Company or its licensors and is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. You agree that all content located at zoomFinance is the sole property of the Company. You understand and agree that the information in, or derived from zoomFinance message boards, bulletin boards, chat rooms, or other parts of zoomFinance, including communications, photos, video, graphics and other material may not be copied, republished, redistributed, transmitted, altered, edited or exploited in any manner for any purpose, without the express written permission of the Company. News, market data, and other information discussed within zoomFinance or otherwise within zoomFinance includes information that has been obtained from sources considered reliable, but such information is not guaranteed, and the Company and its affiliates, officers and employees make no representation or warranty as to the accuracy or completeness, or continued availability of this information, and such information should not be relied upon as such. You agree that neither zoomFinance, nor any of its subsidiaries, affiliates, agents, representatives or licensors shall be liable to you or anyone else for any loss or injury or any direct, indirect, incidental, consequential, special or similar damages arising out of your access or use of, or your inability to access or use, the Services, the Sites or the information available on the Services and the Sites or arising out of any action taken in response to or as a result of any information available on the service and the Sites.

zoomFinance contains links to third-party Web sites and resources on the Internet. zoomFinance provides links to these other Web sites only as a convenience. The inclusion of such links on zoomFinance are not endorsements by the Company, implied or otherwise, of the linked site or any products or services in such sites, and no information in such site has been endorsed or approved by the Company. The linked sites are not under the control of the Company, and the Company is not responsible for the contents of any linked site or any link contained in a linked site. You agree that under no circumstances shall the Company be held responsible or liable, for any loss or damages caused or alleged to have been caused by use of or reliance on any content, goods or services available on such hyperlinked sites.

You expressly agree that use of zoomFinance and the content therein is at your own risk and zoomFinance has no liability or obligation to you with respect to zoomFinance and the content therein. The company is not and will not be responsible or liable for any messages or postings. To the extent permitted by law, the company disclaims all warranties, express or implied, including but not limited to, implied warranties or merchantability or fitness for a particular purpose.

Promotional Materials

You hereby agree to receive via e-mail occassional promotional materials or advertisements by zoomFinance, its partners, or its customers.

Governing Law

You agree that these terms and conditions and any disputes arising out of or related to the Service and the Sites shall be governed by and construed in accordance with the laws of Malaysia. You hereby consent to the exclusive jurisdiction and venue of the courts in Kuala Lumpur, Malaysia in all disputes arising out of or relating to your use of zoomFinance, the Sites and/or Services.

If any part of these terms and conditions is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and limitation of liability set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these terms and conditions shall continue in effect.

A printed version of these terms and conditions and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these terms and conditions to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

User Guidelines and Termination

You understand that using zoomFinance for an illegal purpose or to transmit content that is unlawful, harassing, libelous, invasive of another's privacy, harmful, vulgar, obscene, or otherwise objectionable, may result in removal of messages and/or termination of your membership. Among the categories of postings or actions that could result in the removal of a message and/or the termination of your membership are:

• The unauthorized posting of material, nonpublic information about companies.
• The use of zoomFinance to transmit junk mail, spam, or unsolicited mass distribution of emails.
• The posting or transmittal of content that you are prohibited by law from transmitting (e.g., third-party copyright or trademark) or that you are prohibited from transmitting by contractual or fiduciary duties (e.g., nondisclosure agreement terms).
• The posting of content that is threatening or harassing of any other individual or entity, particularly any member of zoomFinance, or any entity discussed in zoomFinance.
• The posting or transmittal of sexually explicit content.
• The posting of knowingly false or misleading statements.
• The posting of information to manipulate, or attempt to manipulate the market for any security.
• The impersonation by you of any person or entity, or any false statement of affiliation by you with any person or entity.
• The posting or transmittal of any unsolicited advertising, promotional or marketing materials, sales information or other forms of solicitation.
• The posting of statements that constitute offers to buy or sell any security.
• The posting or transmittal of any message or content that violates any applicable local, state, national, international or foreign law, including rules and regulations promulgated by the Malaysian Securities Commission, the Kuala Lumpur Stock Exchange or any applicable self-regulatory organization or governmental entity.

zoomFinance may terminate your access to the Sites and the Services immediately without notice should you be in breach of these terms and conditions or for any other cause. You agree that zoomFinance is under no obligation to inform you as to the reasons for the termination of your access to the Sites and Services.
